Terms of Service

1. Agreement to Terms

By accessing or using Duilio ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

2. Description of Service

Duilio is a software application that allows you to remotely interact with development tools running on your macOS computer from your iOS device. The Service includes:

  • A macOS agent application
  • An iOS client application
  • Optional cloud relay for remote connections (subscription may be required)

3. User Responsibilities

You are responsible for:

  • Maintaining the security of your account credentials
  • All activities that occur under your account
  • Ensuring you have the right to access and modify files on your computer
  • Providing your own API keys for LLM services
  • Any costs incurred from using third-party APIs

4. Acceptable Use

You agree NOT to use Duilio to:

  • Execute malicious code or commands
  • Access computers or networks without authorization
  • Violate any applicable laws or regulations
  • Distribute malware or harmful content
  • Attempt to circumvent security measures
  • Resell or redistribute the Service without permission

5. Command Safety

Important: Duilio executes commands on your computer. While we implement safety measures (command blocking, confirmation dialogs, path sandboxing), you are ultimately responsible for reviewing and approving commands before execution.

The Service includes security features to help protect your system, but no security measure is perfect. Always review commands before approving them, especially those marked as high-risk.

6. Subscriptions and Payment

Free Tier: Local mode is free and does not require an account or payment.

Paid Tiers: Cloud relay and premium features may require a paid subscription, processed through Stripe or Apple App Store.

  • Subscriptions are billed according to the selected plan
  • You may cancel at any time; access continues until the end of the billing period
  • Refunds for App Store purchases are handled by Apple
  • We reserve the right to change pricing with 30 days notice

7. Apple App Store Terms

If you download Duilio from the Apple App Store, you also agree to Apple's Terms and Conditions. Apple is not a party to these Terms and is not responsible for the Service. Apple has no obligation to provide maintenance or support for the Service.

8. Third-Party Services

Duilio integrates with third-party services including:

  • LLM Providers – For AI functionality (you provide your own API key)
  • Supabase – For authentication and cloud relay
  • Stripe – For payment processing

Your use of these services is subject to their respective terms of service. We are not responsible for the availability, accuracy, or content of third-party services.

9. Intellectual Property

The Duilio software, branding, and documentation are owned by Duilio and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive license to use the software for personal or commercial development purposes.

Your code and content remain your property. We claim no ownership over files, conversations, or output generated through your use of the Service.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • We are not liable for any indirect, incidental, special, consequential, or punitive damages
  • We are not responsible for data loss, security breaches, or system damage resulting from commands executed through the Service
  • Our total liability is limited to the amount you paid for the Service in the past 12 months

12. Indemnification

You agree to indemnify and hold harmless Duilio and its affiliates from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

13. Termination

We may terminate or suspend your account immediately, without prior notice, if:

  • You violate these Terms
  • You engage in fraudulent or abusive behavior
  • Required by law

Upon termination, your right to use the Service ceases immediately.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the new Terms on this page and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the new Terms.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Duilio operates, without regard to its conflict of law provisions.
